Licensing Agreement

This Licensing Agreement ("Agreement") is made between you, the Licensee, and José Kimuanga, also known as Øraeth, including his associated projects Helkimer, ThinkChill, and Althøria, in relation to the musical works made available for licensing via the Itsoreath platform (hereafter referred to as "Works") at [Itsoraeth Website].

Itsoraeth Guarantee

Itsoraeth guarantees that it owns or controls the worldwide rights to license the Work(s).

Licensee Guarantee

The Licensee agrees that, to the best of their knowledge, they meet the description of the selected license tier (Creator, Business, Broadcast) at the time of purchase.

Terms of License

1. Grant of License

The licensor grants the licensee a non-exclusive, non-transferable license to use the purchased music under the terms of the selected license. The licensor retains full ownership of the music.

2. Scope of Use

The licensee may use the music according to the limitations of the chosen license:

• Creator License: Personal projects, YouTube, and social media monetization.
• Business License: Commercial use, paid ads, apps, games, podcasts, software, and public playback (PRO use).
• Broadcast License: Includes all prior rights, plus films, series, cinema, TV, radio, OTT platforms, and large-scale distribution.

3. Restrictions

The licensee may not resell, redistribute, claim ownership, or sublicense the music. Use in illegal, hateful, or offensive content is strictly prohibited.

4. Derivative Works

The music may be edited or modified for synchronization purposes, but derivative works cannot be resold or relicensed.

5. Exclusivity

All licenses are non-exclusive. Exclusive rights require a separate agreement with the licensor.

6. Transferability

Licenses are non-transferable. The licensee is the sole authorized user.

7. Attribution

Attribution is not required but is appreciated. Special agreements may require credit.

8. Termination

Any violation of this agreement results in immediate license termination without refund.

9. Liability & Warranty

The music is provided "as is" without warranties. The licensor is not liable for any damages arising from its use.

10. Payment & Refunds

All sales are final. Refunds are not available once the license is issued.

11. Legal Compliance

The licensee is responsible for ensuring their use of the music complies with all applicable laws.

12. Dispute Resolution

Any disputes related to this agreement shall be resolved through negotiation. If unresolved, they will be subject to the laws and courts of the licensor's jurisdiction.

13. Acceptance of Terms

By purchasing and using the Work(s), the Licensee agrees to the terms outlined in this Agreement. This Agreement is publicly available on the "Licensing Agreement" page of Itsoraeth's Payhip store. The Licensee's purchase of a license constitutes acceptance of these terms.
